          一、交貨條款 TERMS OF DELIVERY

         。保b船條件: Terms of Shipment;

          離岸加運(yùn)費(fèi)價(jià)條款:賣(mài)方應(yīng)在本合同第(9)條規(guī)定之時(shí)間內(nèi),將貨物由裝船口岸直接船運(yùn)到中國(guó)口岸,在未經(jīng)征得買(mǎi)方同意前,中途不得轉(zhuǎn)船。貨物不得用懸掛買(mǎi)方不能接受?chē)?guó)家的旗幟的船只裝運(yùn)。

          For CFR Terms: The Sellers shall ship the goods within the time as stipulated in Clause (9) of this Contract by a direct vessel sailing from the port of loading to China Port. Transhipment eoute is not allowed without the Buyers' consent.The goods should not be carried by vessels flying of the countries not acceptable to the Buyers.

          The shipping space for the contracted goods shall be booked by the Buyers or the Buyers'shipping agent,China National Chartering Corporation (Address: Er LiGou Beijing Cable Address:ZHOUGZU PEKING).The Sellers shall undertake to load the contracted goods on board the vessel nominated by the Buyers on any date notified by the Buyers, within the time of shipment stipulated in the Clause (9) of this Contract.

          (B)貨物裝運(yùn)前10—15日,買(mǎi)方應(yīng)電告賣(mài)方合同號(hào)、船只名稱(chēng)、船只預(yù)計(jì)到港日期、裝運(yùn)數(shù)量及船運(yùn)代理人的名稱(chēng),以便賣(mài)方可與該船運(yùn)代理人聯(lián)系及安排貨物的裝運(yùn)。賣(mài)方應(yīng)將聯(lián)系結(jié)果及時(shí)報(bào)告買(mǎi)方,如買(mǎi)方因故需要變更船只或有關(guān)船只提前或推遲到達(dá)情況發(fā)生,買(mǎi)方或船運(yùn)代理人應(yīng)及時(shí)通知賣(mài)方。賣(mài)方亦應(yīng)與中租代理保持密切聯(lián)系。

          10—15 days prior to the date of shipment,the Buyers shall inform the Sellers by cable if the contract number,name of vessel, ETA of vessel, quantity to be loaded and the name of shipping agent, so as to enable the latter to contact the shipping agent directly and arrange the shipment of the goods. The Sellers shall cable in time the Buyers of the result thereof. Should,for certain reasons,it become necessary for the Buyers to replace the named vessel with another one, or should the named vessel arrive at the port of shipment earlier or later than the date of arrival as previously notified to the Sellers, the Buyers or their shipping agent shall advise the Sellers to this effect in due time. The Sellers shall also keep close contact with the agent of Zhougzu.

          (C)如買(mǎi)方所訂船只到達(dá)裝港后,賣(mài)方不能按買(mǎi)方所通知的時(shí)間如期裝船時(shí),則空艙費(fèi)及滯期費(fèi)等一切費(fèi)用和后果均由賣(mài)方負(fù)擔(dān)。但如船只臨時(shí)撤換、延期或退關(guān)等情況而未能及時(shí)通知賣(mài)方停止發(fā)貨者,在裝港發(fā)生的棧租及保險(xiǎn)費(fèi)損失的計(jì)算,應(yīng)以代理通知之裝船日期(如貨物晚于船代理通知之裝船日期抵達(dá)裝港,應(yīng)以貨物抵港日期)為準(zhǔn),在港口免費(fèi)堆存期滿(mǎn)后第16天起應(yīng)由買(mǎi)方負(fù)擔(dān),人力不可抗拒的情況除外,但賣(mài)方仍負(fù)有載貨船只到達(dá)裝港后立即將貨物裝船之義務(wù)并負(fù)擔(dān)費(fèi)用及風(fēng)險(xiǎn)。前述各種有關(guān)費(fèi)用均憑原始單據(jù)核實(shí)支付。

          Should the Sellers fail to load the goods,within the time as notified by the Buyers, on board the vessel booked by the Buyers after its arrival at the port of shipment, all expenses such as dead freight, demurrage, etc.,and consequences thereof shall be borne by the Sellers. Should the vessel be withdraw or replaced or delayed eventually or the cargo be shut out,etc.,and the Sellers be not informed in good time to stop delivery of the cargo, the calculation of the loss for storage expenses and insurance premium thus sustained at the loading port should be based on the loading date notified by the agent to the Sellers(or based on the date of the arrival of the cargo at the loading port in case port in case the cargo should arrive there later than the notified loading date).The above-mentioned loss to be calculated from the 16th day after expiry of the free storage time at the port should be borne by the Buyers with the exception of Force Majeure. However, the Sellers still undertaked to load the cargo immediately upon the carrying vessel's arrivel at the loading port at their own risks and expenses. The payment of the afore-said expenses shall be effected against presentation of the original vouchers after being checked.

          2.裝船通知:貨物裝運(yùn)完畢后,賣(mài)方立即以電報(bào)通知買(mǎi)方合同號(hào)、貨名、所裝數(shù)量或重量、發(fā)票金額、船名、起運(yùn)口岸、開(kāi)船日期及目的口岸。由于賣(mài)方不給上述裝船通知電報(bào)而導(dǎo)致買(mǎi)方不能及時(shí)保險(xiǎn)時(shí),則所發(fā)生之一切損失均由賣(mài)方負(fù)責(zé)賠償。

          Advice of Shipment: Immediately after completion of loading of goods on board the vessel the Sellers shall advise the Buyers by cable of the contract numver, name of goods, quantity or weight loaded, invoicevalue, name of vessel, port of shipment, sailing date and port of destination. Should the Buyers be made unable to arrange insurance in time owing to the Sellers' failure to give the above mentioned advice of shipment by cable, the Sellers shall be held responsible for any and alll damage and/or loss attributable to such failrue.

          買(mǎi)賣(mài)雙方在平等、互利原則上,經(jīng)充分協(xié)商一致,由賣(mài)方出售,買(mǎi)方購(gòu)進(jìn)下列貨物,并按下列條款履行:

          包裝箱內(nèi)應(yīng)附有完整的維修保養(yǎng)、操作使用說(shuō)明書(shū)。 第四條.裝運(yùn)標(biāo)記:

          賣(mài)方應(yīng)在每個(gè)貨箱上用不褪色油漆標(biāo)明箱號(hào)、毛重、凈重、尺寸、合同號(hào)、目的港、收貨人編號(hào)并書(shū)以“防潮”、“小心輕放”、“此面向上”等字樣和裝運(yùn):。

          第五條:交貨條件:

          A、貨物裝運(yùn)后,賣(mài)方出具以買(mǎi)方為付款人的即期跟單匯票(D/P),連同裝運(yùn)單據(jù),通過(guò)賣(mài)方所在地銀行和買(mǎi)方銀行交給買(mǎi)方進(jìn)行托收。

          B、貨物裝運(yùn)后,賣(mài)方出具以買(mǎi)方為付款人的承兌跟單匯票(D/A),匯付款期限為 后 ,按即期承兌交單(D/A 日)方式,通過(guò)買(mǎi)方所在地銀行和買(mǎi)方________ 銀行交給買(mǎi)方進(jìn)行承兌,買(mǎi)方承兌后,向買(mǎi)方轉(zhuǎn)交裝運(yùn)單據(jù),買(mǎi)方按匯票期限到期支付貨款。

         。3)匯付(T/T或M/T):

          買(mǎi)方在收到賣(mài)方依本合同第十一條規(guī)定提交的裝運(yùn)單據(jù)后 日內(nèi),以電匯/信匯方式支付貨款。

         。4)直接付款:

          買(mǎi)方收到賣(mài)方裝運(yùn)單據(jù)后天內(nèi),以航郵向賣(mài)方支付貨款。 第十一條.單據(jù):

         。1) 賣(mài)方按照以下不同運(yùn)輸方式向買(mǎi)方提供相應(yīng)單據(jù): A、海運(yùn):

          全套清潔海運(yùn)提單,標(biāo)明“運(yùn)費(fèi)付訖”/“運(yùn)費(fèi)預(yù)付”,作成空白背書(shū)并加注目的港________ 公司。

          B、空運(yùn):

          空運(yùn)提單副本一份,標(biāo)明“運(yùn)費(fèi)付訖”/“運(yùn)費(fèi)預(yù)付”,寄交買(mǎi)方。

         。2)商業(yè)發(fā)票一式五份,標(biāo)明合同號(hào)和貨運(yùn)嘜頭(若貨運(yùn)嘜頭多于一個(gè),發(fā)票需單獨(dú)開(kāi)列),發(fā)票根據(jù)有關(guān)合同詳細(xì)填寫(xiě)。

         。3)在CIF條件下的保險(xiǎn)單/保險(xiǎn)憑證 份。 (4)由廠(chǎng)商出具的裝箱清單一式 份。 (5)由廠(chǎng)商出具的質(zhì)量和數(shù)量保證書(shū)。 (6)原產(chǎn)地證明書(shū)

         。7)貨物裝運(yùn)后立即用電報(bào)/信件通知買(mǎi)方。 第十二條. 裝運(yùn)條件: (1)FOB條款:

          A、a、由買(mǎi)方負(fù)責(zé)按照合同規(guī)定的交貨日期租船訂艙。

          b、賣(mài)方船運(yùn)代理________ 公司________ ,(電報(bào):________ ),負(fù)責(zé)

          辦理租船訂艙事宜。

          B、賣(mài)方應(yīng)在合同規(guī)定的裝運(yùn)日期前天,用電報(bào)/信件將合同號(hào)、品名、數(shù)量、價(jià)值、箱號(hào)、毛重、裝箱尺碼和貨抵裝運(yùn)港日期通知買(mǎi)方,以便買(mǎi)方租船訂艙。

          C、買(mǎi)方應(yīng)在裝船期前 日通知賣(mài)方船名、預(yù)計(jì)裝船日期、合同號(hào),以便賣(mài)方安排裝運(yùn),要求賣(mài)方與船方代理保持密切聯(lián)系。

          D、如果有必要改變裝運(yùn)船只或者其到達(dá)日期,買(mǎi)方或其運(yùn)輸代理應(yīng)及時(shí)通知賣(mài)方。

          E、如果船只不能在賣(mài)方通知的船期后 日內(nèi)到達(dá)裝運(yùn)港,買(mǎi)方應(yīng)承擔(dān)從第 日起發(fā)生的貨物倉(cāng)儲(chǔ)保管費(fèi)用和此期間的貨物保險(xiǎn)費(fèi)用。

          F、若載運(yùn)船舶如期抵達(dá)裝運(yùn)港,賣(mài)方因備貨未妥而影響裝船,則空艙費(fèi)和滯期費(fèi)均由賣(mài)方承擔(dān)。

          G、貨物越過(guò)船舷之前,一切費(fèi)用和風(fēng)險(xiǎn)由賣(mài)方承擔(dān);貨物越過(guò)船舷之后,一切費(fèi)用和風(fēng)險(xiǎn)屬買(mǎi)方。

         。2)CFR和CIF條款:

          賣(mài)方于本合同第六條規(guī)定的裝運(yùn)日期前天,以電報(bào)/信件把交貨預(yù)定期、合同號(hào)、品名、發(fā)票金額等通知買(mǎi)方。貨物交辦發(fā)運(yùn),賣(mài)方即刻以電報(bào)/信件將合同號(hào)、品名、發(fā)票金額、交辦日期通知買(mǎi)方,以便買(mǎi)方及時(shí)投保。

          第十三條.允許/不允許部分裝運(yùn)或轉(zhuǎn)運(yùn)。

          第十四條.賣(mài)方有權(quán)在 %數(shù)量?jī)?nèi)溢裝或短裝。 第十五條.質(zhì)量保證:

          賣(mài)方保證:所供貨物,其質(zhì)量、規(guī)格和工藝符合本合同所作的說(shuō)明,標(biāo)明商標(biāo)的貨物包裝為新的和未經(jīng)使用的。保證期為自貨到目的港卸貨完畢之日起12個(gè)月。在質(zhì)量保證期內(nèi),凡因設(shè)計(jì)、制造工藝和所有材料而產(chǎn)生的缺陷,賣(mài)方應(yīng)自負(fù)費(fèi)用進(jìn)行修理或更換貨物。

          第十六條.檢驗(yàn):

          在貨物運(yùn)抵最終目的地后,買(mǎi)方有權(quán)向向貨物檢驗(yàn)機(jī)構(gòu)申請(qǐng)對(duì)貨物進(jìn)行檢驗(yàn)。檢驗(yàn)機(jī)構(gòu)為中華人民共和國(guó)進(jìn)出口商品檢驗(yàn)局。

          第十七條. 索賠:

          自貨到目的港起天內(nèi),經(jīng)發(fā)現(xiàn)貨物質(zhì)量、規(guī)格、數(shù)量、重量、包裝、安全或衛(wèi)生條件與合同規(guī)定不符者,除應(yīng)由保險(xiǎn)公司或船方承擔(dān)的部分外,買(mǎi)方可憑前條規(guī)定的檢驗(yàn)機(jī)構(gòu)所出具的商品檢驗(yàn)證書(shū),有權(quán)要求更換或索賠。賣(mài)方應(yīng)在收到索賠要求后天內(nèi)回復(fù)買(mǎi)方。

          貨到目的港起12個(gè)月內(nèi),使用過(guò)程中由于材料質(zhì)量和工藝問(wèn)題而出現(xiàn)的損傷,買(mǎi)方應(yīng)當(dāng)立即以書(shū)面形式通知賣(mài)方并出具前條規(guī)定的檢驗(yàn)機(jī)構(gòu)開(kāi)列的檢驗(yàn)證書(shū),提出索賠,賣(mài)方應(yīng)當(dāng)承擔(dān)違約責(zé)任。賣(mài)方應(yīng)在收到索賠要求后天內(nèi)回復(fù)買(mǎi)方。

          第十八條. 不可抗力:

         。1)在貨物制造和裝運(yùn)過(guò)程中,由于不可抗力的原因(如戰(zhàn)爭(zhēng)、嚴(yán)重火災(zāi)、水災(zāi)、臺(tái)風(fēng)和地震或其他由雙方認(rèn)可的事件)致使延期交貨或不能交貨,賣(mài)方概不負(fù)責(zé)。賣(mài)方于不可抗力事件發(fā)生后,應(yīng)立即通知買(mǎi)方并在事發(fā) 天內(nèi),以航空郵件將事故發(fā)生所在地當(dāng)局簽發(fā)的證書(shū)寄交買(mǎi)方以作證據(jù)。

         。2)在此情況下,買(mǎi)賣(mài)雙方應(yīng)當(dāng)根據(jù)具體情況確定合同是否能夠繼續(xù)履行以及賣(mài)方是否仍有責(zé)任采取必要措施促使盡快交貨。

         。3)不可抗力事故發(fā)生后超過(guò) 天而合同尚未履行完畢,買(mǎi)方有權(quán)解除合同。

          第十九條.合同延期和罰款:

          除本合同十八條所述不可抗力原因外,賣(mài)方若不能按合同規(guī)定如期交貨,應(yīng)當(dāng)提前 通知買(mǎi)方,買(mǎi)方可同意延期交貨,且可以同時(shí)相應(yīng)減少議定的貨款支付金額,并通知付款銀行相應(yīng)減少議定的支付金額。該減少的部分作為合同延期履行的違約金,但違約金數(shù)額不得超過(guò)遲交貨物總額的5%。賣(mài)方若逾期10個(gè)星期仍不能交貨,買(mǎi)方有權(quán)解除合同,且有權(quán)要求賣(mài)方如期支付上述違約金。

          第二十條.合同爭(zhēng)議的解決方式:

          凡涉及本合同或因執(zhí)行本合同而發(fā)生的一切爭(zhēng)議,應(yīng)通過(guò)友好協(xié)商解決,如果協(xié)商不能解決,則可提交中國(guó)-西安仲裁委員會(huì)根據(jù)該會(huì)的.仲裁規(guī)則和程序進(jìn)行仲裁。仲裁將在西安進(jìn)行,仲裁裁決是終局的,對(duì)雙方都有約束力。仲裁費(fèi)用由仲裁庭決定具體承擔(dān)。

          第二十一條.附加條款: (1)法律適用: 本合同之簽訂地、或發(fā)生爭(zhēng)議時(shí)貨物所在地在中華人民共和國(guó)境內(nèi)或被訴人為中國(guó)法人時(shí),適用中華人民共和國(guó)法律,除此規(guī)定外,適用《聯(lián)合國(guó)國(guó)際貨物銷(xiāo)售公約》/ 。

         。2)本合同一式兩份,自雙方之日起生效,雙方各執(zhí)一份,具有同等法律效力。

         。3)本合同為中英文兩種文本,兩種文本具有同等效力。但兩種文本若有差異,以中文為準(zhǔn)。

          賣(mài)方同意采用慣常的和合理的商業(yè)作法滿(mǎn)足買(mǎi)方上述列明的交付日的要求。買(mǎi)方知悉裝運(yùn)日期取決于場(chǎng)地的準(zhǔn)備就緒、賣(mài)方從買(mǎi)方及時(shí)收到所有必要的信息以及賣(mài)方的轉(zhuǎn)供貨商對(duì)產(chǎn)品的及時(shí)發(fā)運(yùn)。賣(mài)方不應(yīng)對(duì)超出其控制的原因?qū)е碌奈唇桓丁⒀舆t交付或錯(cuò)誤交付(并且未在合理的時(shí)間內(nèi)補(bǔ)救)對(duì)買(mǎi)方承擔(dān)賠償責(zé)任。

          Partial shipment not allowed- 不允許部分裝運(yùn)

          Transhipment allowed- 允許轉(zhuǎn)運(yùn)

          Unless otherwise stated, the Seller shall arrange delivery of the products to the Buyer at the destination port stated herein and by the appropriate transportation means as the Seller shall think fit.

          除非另有規(guī)定,賣(mài)方應(yīng)安排產(chǎn)品通過(guò)賣(mài)方認(rèn)為適合的恰當(dāng)?shù)倪\(yùn)輸方式將產(chǎn)品在本合同項(xiàng)下規(guī)定的目的港交付給買(mǎi)方。

          7. INSURANCE:保險(xiǎn)

          To be covered by the Seller for 110% of invoice value against war risks, all risks including TPND, breakage and leakage

          應(yīng)由賣(mài)方按發(fā)票金額的110% 投保戰(zhàn)爭(zhēng)保險(xiǎn) , 一切險(xiǎn)包括TPND, 破碎及滲漏。

          8. PACKING:包裝

          In standard Philips Export Packing and seaworthy materials for marine transportation.

          應(yīng)以適合海運(yùn)的材料用標(biāo)準(zhǔn)的飛利浦出口包裝進(jìn)行包裝。
