          3 押金 Deposit:

          3.1乙方須支付相當(dāng)于兩個(gè)月房租的押金(即RMB ), 以人民幣支票或轉(zhuǎn)帳形式支付)。甲方應(yīng)在收到押金后向乙方開具統(tǒng)一收據(jù)。

          A deposit of two (2) months’ equivalent rental (RMB ) shall be paid by PARTY B in RMB by check or by bank transfer. PARTY A shall issue to PARTY B official receipt upon receiving the deposit.

          3.2押金在合同終止后10天內(nèi)由甲方以相同幣種全額退還給乙方(不計(jì)利息)。如果延期返還,則每延期一日,按每日萬(wàn)分之四支付給乙方利息。

          The deposit shall be refundable in full amount in 10 days after the contract expiration, in same currency and excluding interest thereupon. In case PARTY A delays the refund of the deposit, PARTY A shall pay interest to PARTY B at the rate of 0.04% per day of delay.

          3.3甲方應(yīng)按時(shí)付清各種帳單。若以上出租房屋及其家具、設(shè)備等因乙方原因出現(xiàn)遺失或非正常的損壞,乙方應(yīng)負(fù)責(zé)賠償。

          PARTY A shall pay off on time all the bills due. In case there is any loss or unusual damage to the furnishings, contents or the rental premises due to PARTY B’ s reason, PARTY B shall compensate for it.

          4 租期 Lease term:

          5 出租人的責(zé)任 PARTY A’s obligation:

          5.1 3甲方聲明及保證甲方為該出租房屋的合法擁有人,有合法地位出租此房屋,并就出租事宜已取得有關(guān)方面的批準(zhǔn)。

          PARTY A assures to be the legal owner of the leased premises, to have the necessary legal capacity to lease it, and PARTY A’ action has been ratified by the authorities concerned.

          5.2租賃期內(nèi),若甲方出售該出租房屋導(dǎo)致該出租房屋所有權(quán)發(fā)生轉(zhuǎn)移,甲方須保證本合同能繼續(xù)執(zhí)行。

          In case PARTY A sells the premises during the lease which leads to the premises ownership be transferred, PARTY A shall ensure that the said contract will be implemented continuously.

          5.3甲方須按時(shí)將清潔狀況良好的出租房屋交付乙方使用,保證在租賃期內(nèi)出租房屋內(nèi)的各項(xiàng)設(shè)施能正常使用。 PARTY A shall hand over the said premises to PARTY B on time and assure the said premises will be cleaned and in good status during the lease term.

          5.4甲方有義務(wù)負(fù)責(zé)出租房屋及設(shè)施的正常維護(hù)和保養(yǎng),如房屋或設(shè)施非因甲方原因出現(xiàn)故障,甲方應(yīng)在收到乙方通知后二十四(24)小時(shí)內(nèi)自行或通過(guò)其他方式解決故障,否則,乙方有權(quán)雇傭第三方進(jìn)行維修,由甲方承擔(dān)所有費(fèi)用并承擔(dān)相關(guān)責(zé)任。由于不可抗力(如地震、臺(tái)風(fēng)、洪水、非人為的火災(zāi)等)、自然損耗或乙方以外的原因造成的損壞,亦由甲方承擔(dān)有關(guān)費(fèi)用。

          PARTY A shall bear the responsibility of the said premises’ normal repairs and maintenance, and pay the cost related. In case the premises or facilities are in bad conditions not due to the reason of PARTY B, PARTY A shall complete the repair work within 24 hours upon receipt of the notice from PARTY B. Otherwise, PARTY B shall have the right to hire any third parties for the repair work at the cost of PARTY A. The cost of repairs to the said premises, if damaged by Force Majeure (such as earthquake, typhoon, flood non-man made fire, etc) reasonable wear and tear or by accidents beyond PARTY B’S control, should also be borne by PARTY A.

          5.5租賃期內(nèi),在乙方遵守合同及支付租金的前提下,未經(jīng)乙方允許,甲方不得進(jìn)入該出租房屋。

          During the lease, PARTY A shall not get in the said premises without PARTY B’S permission if PARTY B has been carrying out the contract normally.

          5.6甲方應(yīng)督促管理公司向乙方提供足夠的服務(wù),如冷水、熱水、煤氣,電的供應(yīng)及各種設(shè)備的正常工作。 Party A shall direct Property Management Company to provide sufficient and continuous services to Party B, including provision of cold water, hot water, gas and electricity and ensure proper maintenance of equipment therein.

          5.7 房產(chǎn)稅及與租賃有關(guān)的`所有稅費(fèi)由甲方承擔(dān)。

          Premises tax and other leasing related taxes shall be paid by PARTY A.

          6 承租方的責(zé)任 PARTY B’S obligations:

          6.1 乙方申明及保證其在中國(guó)擁有合法居留權(quán),并按有關(guān)規(guī)定辦理必要的居住登記手續(xù)。

          PARTY B assures to have the legal right of residence in China, and shall complete the residential formalities complying with the local regulations.

          6.2 住客應(yīng)按時(shí)支付電話費(fèi)含上網(wǎng)費(fèi)、水電煤氣費(fèi)。

          The occupant shall pay the telephone bills and internet fee, extra water electricity gas fee on time.

          6.3 乙方只能將出租房屋用做住宅,不得將之用作公司及代表處的注冊(cè)地址,亦不可作為公開的辦公室。 The premises are limited for residential use only by PARTY B, and are prohibited from registering as legal address for any company or agency, or using as public office.

          6.4 乙方不得在出租房屋內(nèi)進(jìn)行違反法律及政府對(duì)出租房屋用途有關(guān)規(guī)定的行為。

          PARTY B shall not carry in the premises any unlawful or illegal activities which are not allowed according to the leasing regulations from the government.

          6.5 租賃期內(nèi),未經(jīng)甲方書面同意,乙方不得將出租房屋部分或全部轉(zhuǎn)租他人。

          PARTY B shall not partly or totally sublet the said premises without the written permission from PARTY A.

          6.6 若因乙方使用不當(dāng)或不合理使用,出租房屋及其內(nèi)的設(shè)施出現(xiàn)損壞或發(fā)生故障,乙方應(yīng)及時(shí)聯(lián)絡(luò)管理機(jī)構(gòu)或甲方進(jìn)行維修,并負(fù)責(zé)有關(guān)維修費(fèi)用.

          The damage of the premises or the fittings that are within the control of PARTY B shall be borne by PARTY B, and PARTY B shall contact the management office or PARTY A instantly.

          6.7 租賃期內(nèi),乙方對(duì)出租房屋進(jìn)行裝修或增加水、電、消防等設(shè)施,須經(jīng)甲方同意并經(jīng)有關(guān)部門批準(zhǔn),并由甲方執(zhí)行監(jiān)理,所需費(fèi)用由乙方承擔(dān)。雙方解約時(shí),乙方不能移走自行添加的結(jié)構(gòu)性設(shè)施,甲方亦不必對(duì)上述添加設(shè)施進(jìn)行補(bǔ)償。

          PARTY B, upon written permission of PARTY A, may make additions or alterations dealing with water,

          electricity supply or fire protection, at his own expense, subject to necessary permits or licenses required by the authorities concerned and under the supervision of PARTY A .No structural alterations or additions can be removed from the premises upon the expiration of this contract. No reimbursement for the said additions.

          6.8 乙方有權(quán)在墻壁上懸掛畫、圖片或其他裝飾性物品。合同履行期限屆滿或提前解約時(shí),甲方應(yīng)承擔(dān)費(fèi)用拔掉釘子、粉刷墻壁或使墻壁恢復(fù)原狀,并承諾不以此為由扣留乙方的押金。

          PARTY B is entitled to hang pictures, paintings or other decorative articles on the walls. Upon expiration or early termination of the contract, PARTY A shall bear the cost to remove the nails, repaint the wall or restore the wall to the original state, and PARTY A shall not retain PARTY B’S deposit for the reason of doing things above.

          6.9租賃合同期滿的前一個(gè)月內(nèi),經(jīng)合理事先書面通知,乙方應(yīng)允許甲方或其授權(quán)人 引領(lǐng)潛在客人參觀在出租房屋。

          During the last month of the contract, after reasonable prior written notice to PARTY B, PARTY A or his nominee shall be allowed to show the said premises to the potential clients.

          6.10 租賃期滿,若甲,乙雙方未達(dá)成續(xù)租協(xié)議,乙方應(yīng)于租期屆滿時(shí)或之前遷離出租房屋并將鑰匙及清理干凈的房屋歸還甲方.

          PARTY B shall return the premises in a clean condition to PARTY A (except wear and tear) at the expiration of the contract if there is no renewal thereupon.

          7 提前解約Early termination:

          7.1六(6)個(gè)月后,乙方如要退租,應(yīng)提前一(1)個(gè)月書面通知甲方終止本租約。在此情況下,甲方應(yīng)在本租約終止后十(10)日內(nèi)將押金全額退還乙方。

          After six (6) months, Party B may, upon one (1) month advance written notice to Party A, terminate this

          Tenancy Agreement without any liabilities. Under this circumstance, Party A shall return the deposit in full to Party B within ten (10) days after the termination.

          7.2 若因自然界的不可抗力,如火災(zāi)、洪水、臺(tái)風(fēng)、地震、戰(zhàn)爭(zhēng)等意外損害導(dǎo)致出租房屋無(wú)法居住,合同即自動(dòng)終止,甲、乙雙方互不承擔(dān)責(zé)任。

          If the said premises are so damaged by force majeure (fire, flood, typhoon, earthquake, war, and etc) that it’s no longer habitable, the contract shall be terminated automatically. Neither PARTY A nor PARTY B shall bear any responsibility to each other.

          8 續(xù)租 Renewal:

          租賃期滿,乙方有優(yōu)先續(xù)租權(quán),但須提前一個(gè)月通知甲方,并安排簽訂續(xù)租合同。

          PARTY B retains the priority to renew this lease upon expiration , while one-month prior notice to PARTY A is necessary, and PARTY A shall arrange the signature for the renewal contract.

          9 爭(zhēng)議的解決 Dispute Resolution:

          9.1 本合同適用法律為中華人民共和國(guó)相關(guān)法律。

          The contract is governed by the laws of the People’s Republic of China.

          9.2在履行本合同過(guò)程中產(chǎn)生的任何爭(zhēng)議由雙方協(xié)商解決,協(xié)商不成,可向中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)(北京)申請(qǐng)仲裁。

          In case of any dispute arising out of the performance of this Contract, PARTY A and PARTY B shall consult

          together to reach unanimity, otherwise both parties can submit the dispute to the China International Economic and Trade Arbitration Commission (Beijing) for arbitration.

          10 其他Others:

          10.1本合同以中英文兩種文字?jǐn)M成,兩種文本同等有效。

          The contract is drawn in both Chinese and English versions. Both texts have equal effect.

          10.2 本合同一式二份,甲、乙雙方各執(zhí)一份。

          Two copies of the contract will be drawn and remained in the possession of PARTY A & PARTY B. 10.3本合同自簽定之日起生效。

          The contract shall come into force on the date of signature.

          10.4本合同的附件是本合同必不可少的組成部分。附件一列明的物品在甲、乙雙方核實(shí)簽字后生效。

          4、 乙方不得在該物業(yè)之內(nèi)任何地內(nèi)存放違反危險(xiǎn)品條例之物品,例如軍械、火藥、璜硝、

          汽油, 有爆炸危險(xiǎn)性的物品及揮發(fā)性之化工原料等等, 另乙方不得在該物業(yè)內(nèi)做任何

          違反中國(guó)法律行為。否則,一切后果,由乙方負(fù)責(zé)。

          Party B shall not store arms, ammunition or unlawful goods, gun-powder, saltpeter, kerosene

          or any explosive or combustible substance, etc. in any part of the said premises, the tenant or inmate shall not use the said premises for any illegal purposes, for violation against the law of People’s Republic of China in any part of the said property, Party B shall be answerable and responsible for any consequence of any breach of local ordinance.

          5、 乙方須正確維護(hù)該物業(yè)內(nèi)甲方所提供之家具、電器、裝置及設(shè)備、該物業(yè)之原來(lái)一切設(shè)

          備如有因非正當(dāng)使用造成的損壞,乙方須負(fù)責(zé)修理或賠償。

          To keep the interior of the said premises and furniture, fixtures and fittings provided by Party A in condition of normal use throughout the tenancy, if any damages made by any abnormal use, Party B is responsible for the repair or reimbursement.

          6、 乙方不得拒絕甲方派譴之人員,在適當(dāng)時(shí)間入屋檢視該單位近況或進(jìn)行任何修理工程。

          Party B shall permit Party A and its agents with or without workmen or others and with or without appliances at all reasonable times to enter upon the said premises and to view the condition thereof and to take inventories of the fixtures therein and to carry out any repairs to the premises which Party A considers necessary or proper to be done.

          7、 當(dāng)租約期滿或終止前X個(gè)月,甲方有權(quán)在不騷擾原則下, 張貼招租告示于該單位外,

          乙方亦應(yīng)準(zhǔn)許甲方/代理人在合理時(shí)間內(nèi),帶同新租客進(jìn)入該物業(yè)視察。

          During the X month immediately preceding the determination of the said term of tenancy, Party A shall be at liberty to affix and retain without interference or molestation on the door or the external parts of the said premises a notice for letting the said premises and the Party

          B shall permit and allow all persons with written or oral authority from party A or its agent or agents at all reasonable hours of the day to view the said premises or any part or part thereof.

          8、 租約期滿,乙方如需延長(zhǎng)租約,須在租約期滿 X 個(gè)月前以書面方式通知甲方,經(jīng)甲

          方同意,乙方可以新訂租金和租約繼續(xù)入住該物業(yè)。

          9、 乙方須自行投買風(fēng)災(zāi), 水災(zāi), 火災(zāi), 盜竊, 意外保障等等, 乙方如在該單位內(nèi)有任何損失,

          甲方不負(fù)任何責(zé)任。

          Party B shall himself cover insurance for his own belongings against Typhoon, Depression, Storm, Flood, Fire, Theft, Accidents, etc. in relation to this Tenancy. Party A shall not be responsible for any damage or loss under all circumstances.

          10、 乙方不得于單位內(nèi)制造或容許制造噪音, 異味或任何滋擾鄰居或業(yè)主安寧之舉動(dòng), 其中

          包括拖欠租金。經(jīng)警告后仍未有所改善, 甲方有權(quán)終止租約。

          Party B shall not permit any noise or allow any music to be produced in the premises so as to give cause for reasonable complaint from the occupants of neighboring premises, otherwise, Party A has the right to terminate the tenancy immediately if case continued after advised. 11、

          12、 甲方須承擔(dān)該物業(yè)的房產(chǎn)稅、土地使用稅。 Party A shall pay all property tax, land tax and any other tax or charge of the said premises. 租約期內(nèi),甲方有權(quán)將該物業(yè)出售給第三者,本合約對(duì)購(gòu)得該物業(yè)之新業(yè)主仍然有效,

          所有適用于甲、乙雙方的條款,同樣無(wú)條件適用于新業(yè)主和乙方。

          14、 本租約適用中華人民共和國(guó)法律、自甲、乙雙方簽章后,雙方均應(yīng)遵守本租約規(guī)定的各

          項(xiàng)條款,如發(fā)生爭(zhēng)議,雙方不能完滿解決,將依照中華人民共和國(guó)有關(guān)法律仲裁解決。 The agreement is construed in accordance with laws of People’s Republic of China (PRC).           1.5 The Dealer by executing this Agreement, for and on behalf of Dealer and all persons and entities who at present, in the past or in the future may have, have had or may hereafter have a legal or beneficial ownership or other interest in Dealer, and their respective heirs, executors, administrators, successors and assigns (collectively the “Releasors”), hereby agrees to and does hereby unconditionally, irrevocably and forever voluntarily terminate and surrender to VGIC, as of the Effective Date, the Dealer Contract and any other agreements relating to the sale of the Lamborghini brand products and waives, terminates and surrenders to VGIC any and rights arising out or relating to the Dealer Contract or in connection with the Dealer Contract, including, without limitation, any and all rights, if any, to a continuation, extension or renewal of the Dealer Contract or any related business relationships between VGIC and the Dealer or any of the other Releasors after the Effective Date, which they, or any of them, may now or hereafter have or acquire.

          taking all necessary actions, to ensure an uninterrupted supply of parts and after sales services as required by customers after the date of termination of the Dealer Contract.

          (a)Immediately inform its customers (especially owners of vehicles sold by the Dealer) of the Dealer’s closure using the mutually agreed template attached to this Agreement, and obtain the customers’ consent to the transfer of the customer’s information to VGIC and VGIC’s use of such informationsubject to the applicable laws and regulations of PRC;

          (e) not apply, and ensure its affiliated companies not apply, directly or indirectly, for registration of any trademarks or names (including any Chinese translations) belonging to VGIC or other Volkswagen Group companies. Otherwise, VGIC or other Volkswagen Group companies are entitled to request such trademarks and/or names transferred to VGIC or other Volkswagen Group companies, free of charge, at any time;

          不得直接或者間接地申請(qǐng)注冊(cè)屬于大眾公司或者大眾集團(tuán)其它公司的任何商標(biāo)或名稱(包括漢語(yǔ)譯名),并確保其附屬公司也這樣做。否則,大眾公司或者大眾集團(tuán)其它公司有權(quán)在任何時(shí)間要求把該等商標(biāo)和/或名稱讓與給大眾公司或者大眾集團(tuán)的其它公司。

          2.5 The Dealer agrees to maintain strict confidentiality regarding all VGIC’s confidential information, including any data, information, plans, drawings, specifications, documents, know-how, physical objects (such as models, parts or devices) or materials of or relating to the production, engineering, technology, financing, marketing of Volkswagen and Lamborghini products, personnel of VGIC, their parent corporation or their subsidiaries or affiliates, if such confidential information is not known or available to the public (“Confidential Information”). The Dealer undertakes that it will not, at any time, reveal, communicate, divulge or make available any Confidential Information to anyone, other than to such extent and to such persons as may specifically be designated by VGIC in writing.
