合同專用口語(yǔ)詞匯及短語(yǔ)詳解
隨著法律觀念的日漸普及，合同的用途越來(lái)越廣泛，合同是企業(yè)發(fā)展中一個(gè)非常重要的因素。那么合同書的格式，你掌握了嗎？下面是小編整理的合同專用口語(yǔ)詞匯及短語(yǔ)詳解，希望能夠幫助到大家。
英語(yǔ)中某些副詞如“here”及“where”在法律文件中往往當(dāng)作前綴，與另一個(gè)詞構(gòu)成法律詞匯中的專門用語(yǔ)。在法律文件中用這些詞，可以避免重復(fù)，避免誤解，避免歧義，使行文準(zhǔn)確、簡(jiǎn)潔。以這種方法構(gòu)成的詞主要有：
hereafter, hereby, herein, hereof, hereto hereunder, hereupon, herewith, hereinbefore, hereinafter;
thereafter, thereby, therein, thereinafter, thereinbefore, thereon, thereof, thereunder, thereupon, therewith;
whereas, whereby, wherein, whereof, whereon, etc。
這些詞各有各的含義，筆者只能撿其中幾個(gè)細(xì)說(shuō)：
比如：
1.Hereby: by means of; by reason of this 之意，即特此，因此，茲等意。常用于法律文件、合同協(xié)議的正式文件的開(kāi)頭語(yǔ)，在條款中需要強(qiáng)調(diào)時(shí)也可用。
舉原文說(shuō)明，如：
The Employer hereby covenants to pay the Contractor in consideration of the execution and completion of the Works and the remedying of defects therein the Contract Price or such other sum as may become payable under the provisions of the Contract at the time and in the manner prescribed by the Contract.
文中：
hereby 意為 by reason of this，特此的意思。
Covenants 是動(dòng)詞，意為make a formal agreement 立約，簽訂合同。
completion of the Works 是工程的竣工，Works與Work 在工程承包合同文件中常指工程而不是工作之意。
therein意為in the Works在本工程中。
the Contract Price指合同總價(jià)，指工程的總造價(jià)。
such…as是關(guān)系代詞，相當(dāng)于that, which，把要限定的詞置于such 與as之間使要限定的名詞十分明確，避免合同雙方在理解上發(fā)生爭(zhēng)議。
under 意為in accordance with 根據(jù)，按照之意，決不能譯成“在…….之下”。
the provisions of the Contract: terms and conditions of the contract 合同條件、條款之意。
在對(duì)文中專業(yè)性詞匯作了解釋之后，就不難理解這一段的含義了，也就是讀懂了。于是可以把原文譯為：
業(yè)主特此立約保證在合同規(guī)定的期限內(nèi)，按合同規(guī)定的方式向承包人支付合同總價(jià)，或合同規(guī)定的其它應(yīng)支付的款項(xiàng)，作為本工程施工、竣工及修補(bǔ)工程中缺陷的報(bào)酬。
2.Hereto: to this，上文已提及的，比如表示“本合同雙方”可以說(shuō)“the Parties hereto”,這里的hereto表示“to this Contract” “本協(xié)議附件4”可以譯為“Appendix 4 hereto”，這里的hereto表示“to this Agreement”。
讀下面的原文，可以進(jìn)一步理解hereto 在文中的作用。
All disputes arising from the performance of this Contract shall, through amicable negotiations, be settled by the Parties hereto.Should, through negotiation, no settlement be reached, the case in question shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commisssion, Beijing and the arbitration rules of this commission shall be applied.The award of the arbitration shall be final and binding upon the Parties hereto.The Arbitration fee shall be borne by the losing party unless otherwise awarded by the Arbitration Commission.
文中：
兩次出現(xiàn)的hereto, 都是限定Parties, 表示the Parties to this Contract 本合同的雙方。
“the performance of this Contract”履行本合同。
“through amicable negotiations” 通過(guò)友好協(xié)商。
should 表示如果發(fā)生什么情況，代替省掉的if。
“shall then be submitted for arbitration”應(yīng)提交進(jìn)行仲裁。
“the Chinese International Economic and Trade Arbitration Commission, Beijing” 中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)(北京)。
“the arbitration rules of this Commission” 仲裁規(guī)則。
“the award of the arbitration: 仲裁裁決。
“unless otherwise awarded by the Arbitration Commission”仲裁委員會(huì)另有裁定的除外。
這樣，掃除了上述專業(yè)詞匯的障礙，可把原文譯為：
對(duì)于因履行本合同所發(fā)生的一切爭(zhēng)議，本合同雙方應(yīng)友好協(xié)商解決，如協(xié)商無(wú)法解決爭(zhēng)議，則應(yīng)將爭(zhēng)議提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)(北京)，依據(jù)仲裁規(guī)則仲裁。仲裁裁決是終局性的，對(duì)雙方都有約束力。仲裁費(fèi)用應(yīng)由敗訴方承擔(dān)，但仲裁委員會(huì)另有裁定的除外。

1.This agreement will remain valid for one year and shall become effective on the date of signing.
本協(xié)議有效期為一年，簽署日起開(kāi)始生效。
2.We’d like to make the contract to be valid for two year at the beginning.
剛開(kāi)始，我們先把合約的期限定為兩年。
3.I think we better make some changes in the wording of this sentence.
我想這句話的措辭最好能做一些修改。
4.Isn’t it better to word it in this way?
這樣說(shuō)是不是會(huì)好一些呢?
5.I’d like to replace this phrase with “after the date of delivery”.
我想這個(gè)詞語(yǔ)換成”在交貨日之后”
6.If neither party considers it is necessary to extend the contract the proposing party may take the initiative to conduct negotiation with the other party one month prior to its expiration.
如果任何一方認(rèn)為沒(méi)有必要展延本同，建議方應(yīng)在合同到期日前一個(gè)月主動(dòng)安排對(duì)方的談判。
7.In case of breach of any of the provisions of this agreement by one party, the other party shall have the right to terminate this agreement by giving notice in writing to its opposite party.
如果一方違反本協(xié)議的任何一項(xiàng)條款，另一方有權(quán)以書面形式通知對(duì)方終止本協(xié)議。
8.If you fail to make the delivery ten weeks later than the time of shipment stipulated in the contract, we shall have the right to cancel the contract.
如果貴方延期交貨超過(guò)合同規(guī)定10周時(shí)，我方有權(quán)取消合同。
9.If both parties do not agree to renew the contract at its expiration, it will automatically become void.
如果期限一到，雙方不想再續(xù)約，合約就會(huì)自動(dòng)無(wú)效。
10.If you want to terminate the contract before its terms is up, you should notify us of its cancellation six month before.
如果貴方想在期滿之前終止合約，必須在6個(gè)月之前通知我方。
